Our common law team is composed of experienced UK and US qualified lawyers skilled in a range of transactional international legal work and with extensive experience of working at top law firms in the UK and the US.

  • Finance – all types of financing work including acquisition financing, real estate financing, bilateral/syndicated loans, project financing, structured financing, bond issuances and restructurings
  • Projects – project claims and disputes and negotiation of all types of project agreements, including EPC(I), supply and transportation contracts
  • Corporate – M&A, due diligence, corporate incorporation and general corporate governance (including shareholders’ agreements, articles of association and investment agreements)
  • Commercial – supplier and consumer contracts (both B-2-C and B-2-B), licensing agreements, service contracts, and general terms and conditions.

Select Transactions and Client Work

  • Advised a Danish renewables company on its €40m English law venture capital facility financing carbon capture and storage technology.
  • Advised Polaris Flexible Capital as mezzanine lender and private equity co-investor on DK and UK aspects in McWin’s €80m acquisition of Sticks n Sushi.
  • Advised a Danish pension fund on US law contracts relating to a $80m investment in a US broadbands technology fund.
  • Assisted with negotiating English law governed EPCI and supply contracts in several offshore wind procurement projects in the UK with an aggregate capacity of 5.6GW.
  • Assisted with termination of several NY law governed project agreements for a US offshore wind project.

Aleks Wulff

Aleks heads the Common Law team having practiced a number of years in London. He advises international banks, funds and corporates on strategic, cross-border deals – often where financing and M&A intersect. Particular focus areas include the venture and leverage markets and the legal work surrounding fundraising, deployment of capital and acquisitions.

Lee Unterhalter

Lee is a senior banking and finance attorney qualified in New York advising on a wide range of complex financing transactions. She has extensive experience from Denmark and internationally acting for borrowers and lenders across corporate lending, acquisition finance, project finance, and mezzanine facilities and has also assisted clients handling debt restructuring. In addition, Lee advises on debt capital markets matters, including the establishment of EMTN programmes, note issuances for Danish corporates, stand-alone bond issues, and hybrid capital instruments. She also supports Danish institutional investors—such as pension funds and family offices—with private equity investments, both domestically and internationally.

Oskar is an English qualified solicitor with experience in cross-border transactions across a variety of industries and finance solutions, including bank lending, bond issues, and financial restructurings. He brings global insight from his time working at international law firm Freshfields in their London head office and has hands-on experience of transactions in the UK, the Nordics, and central Europe.
